Supplier Product Information Usage Policy

UL offers the PROSPECTOR® materials database and Product iQ websites (the "Sites") and provides information on its Sites (www.ulprospector.com and iq.ulprospector.com ) to third parties (the “Services”).

This Supplier Product Information Usage Policy (“Policy”) describes how UL Verification Services, Inc. and its subsidiaries and affiliates (collectively, “UL”) and their customers may use technical data sheets (each, a “TDS”) and/or technical product data (“Data”) and/or related information (collectively, “Product Information”), including any viewable or unviewable metadata or other properties or attributes contained in such Product Information, that UL:

  1. Receives from you (e.g., a supplier or manufacturer) (each, a “Supplier” or “you”), or

  2. Otherwise obtains from you, including by permitting UL to copy Product Information from your website using manual or automated means.

If you register to be a member or paid subscriber to one of more of the Services, your separate agreement with UL including statement of work (“SOW”) and Prospector/Product IQ Service Terms at https://www.ul.com/resources/prospectorproduct-iq-service-terms (the “Service Terms”) will govern any data or information that you may provide to UL in connection with the Services. 

By providing your Product Information to UL, or otherwise permitting UL to access and copy your Product Information, you expressly agree to the terms of this Policy, as follows: 

1. Product Information License

You hereby grant to UL a nonexclusive, perpetual, irrevocable, fully-paid, worldwide right and license (with the right to sublicense) to copy, use, store, adapt, modify, publicly display, distribute, and create derivative works from, Product Information in connection with:

  1. the Services that UL may provide to you or others, including but not limited to use on the Sites;
  2. UL products or services that allow export of Product Information, including via application programming interfaces (“APIs”) or other technology to UL’s customers and end users;
  3. research, development, improvement and provision of UL products and services that UL may decide to offer in UL’s sole discretion (collectively (i), (ii), and (iii), the “Purposes”); and
  4. to the extent Product Information includes trade names, trademarks, service marks, and trade dress (“Marks”), UL’s license to such Marks in connection with the above Purposes will be limited to copy, use, store, publicly display, and distribute with the appropriate Product Information in order to indicate the manufacturer or source of such Product Information.

This means, for example, that if you provide your Product Information to UL to upload to the Sites, or permit UL to copy your Product Information from your website, you give us permission to store, copy, and share it with others for any of the above Purposes.

2. Propriety Rights and Ownership

You shall retain all right, title and interest (including copyright and other proprietary or intellectual property rights) in Product Information.  You acknowledge that UL solely owns copyrights in the compilation and corresponding selection, coordination or arrangement of information and data maintained on or in UL’s databases. 

3. Copyright Compliance

UL respects the rights of all copyright holders and has adopted and implemented a policy that provides for the termination, in appropriate circumstances, of users who infringe the rights of copyright holders. If you believe that your work has been copied or used in a way that constitutes copyright infringement, please provide UL the following information required by the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act, 17 U.S.C. 512:

  • A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
  • Identification of the copyright work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
  • Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;
  • Information reasonably sufficient to permit us to contact the complaining party;
  • A statement that the complaining party has a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
  • A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

4. Accuracy

All Product Information is made available to UL on an “as is” and “as available” basis.  Supplier makes no representations or warranties of any kind, express or implied, as to the Product Information. To the full extent permissible by applicable law, Supplier disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.  However, you and not UL is responsible for determining the accuracy and completeness of all Product Information published on the Sites, including without limitation whether the categorization of such Product Information is correct. In the event you become aware of any material inaccuracy of any Product Information published or categorized on the Sites, you shall promptly notify UL of such inaccuracy, and UL will take reasonable steps to correct any Product Information it determines in its sole discretion to be inaccurate or incomplete.

UL does not guarantee the accuracy or completeness of Product Information, nor does UL warrant that the categorization of such Product Information is correct.  UL shall not be responsible for any content provided by product suppliers or other parties that is accessed through the Sites and shall have no obligation to correct any such content.

UL will not be liable for any damages of any kind arising from the Product Information made available to UL, including, direct, indirect, incidental, punitive, and consequential damages.
